Terms of Service
Welcome to Summairize. These Terms of Service ("Terms") form a binding agreement between you and Summairize, LLC ("Summairize," "we," "our," "us") governing your access to and use of our website, products, and services, including summairize.ai and any related APIs and applications (collectively, the "Service").
1. Eligibility and Account
You must be at least 18 years old (or the age of majority where you live) to use the Service. You are responsible for your account and for keeping your login credentials secure. Accounts are provisioned through third-party identity provider Auth0. You must provide accurate information and promptly update it as needed.
2. Acceptable Use
You agree to comply with our Acceptable Use Policy. You will not (a) use the Service for unlawful activity; (b) infringe the rights of others; (c) probe, scan, or test the vulnerability of the Service; (d) attempt to circumvent security or rate limits; (e) submit malicious or harmful content; (f) perform high-volume automated requests beyond plan limits; or (g) reverse engineer the Service except to the extent such restriction is prohibited by applicable law.
3. Your Content
You may submit domains for analysis, content hosted on those domains, queries, and other input ("Your Content") for processing and summarization. You retain any ownership you have in Your Content. You grant Summairize a worldwide, non-exclusive license to host, process, cache, analyze, transform, and display Your Content solely to operate and improve the Service and to create de-identified or aggregated data as described in the Privacy Policy.
4. Output and Recommendations
The Service may generate summaries, suggestions, or other outputs ("Output"). Output is generated automatically and may be inaccurate or incomplete. You are responsible for evaluating Output for your use case. We make no warranties regarding the accuracy, completeness, or fitness of Output for any purpose.
5. Plans, Billing, and Taxes
We currently offer limited free access. Paid self-service subscriptions with recurring billing via Stripe will be introduced. When paid plans become available, you agree (i) to pay all fees, taxes, and charges in accordance with the posted pricing and billing terms; (ii) that subscriptions renew automatically until canceled; and (iii) that we may suspend or terminate access for unpaid or disputed amounts. Any offline contracts you enter with us govern to the extent they conflict with these Terms for the covered scope.
6. Usage Limits and Fair Use
We may set or adjust technical or contractual limits on requests, bandwidth, storage, features, or Output, including rate limits or fair-use thresholds. We may throttle, restrict, or suspend access that materially degrades the Service for others or violates these Terms.
7. Intellectual Property
Summairize owns all rights, title, and interest in and to the Service, including software, models, interfaces, and documentation. Except for rights expressly granted herein, no license or other rights are granted by implication or otherwise.
8. Feedback
If you provide feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction.
9. Confidentiality
Each party may receive non-public information from the other. The receiving party will use such information only to provide or use the Service and will protect it using reasonable measures. This does not apply to information that is public, received from a third party without breach, independently developed, or required to be disclosed by law.
10. Privacy
Your use of the Service is subject to our Privacy Policy and Cookie Policy.
11. Third-Party Services
The Service integrates with third-party services (for example, Auth0 for identity; Google Analytics for website analytics; Stripe for payments in the future). Your use of those services may be subject to their terms and privacy policies.
12. Disclaimers
THE SERVICE AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. EXCEPT FOR YOUR PAYMENT OBLIGATIONS OR BREACHES OF SECTION 2 (ACCEPTABLE USE), EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO SUMMAIRIZE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY (OR $100 IF NO FEES WERE PAID).
14. Indemnity
You will defend and indemnify Summairize from claims arising out of Your Content, your use of the Service in violation of these Terms, or your violation of law.
15. Suspension and Termination
We may suspend or terminate your access for actual or suspected violations of these Terms, legal requirements, or to protect the Service. You may stop using the Service at any time. Sections that by their nature should survive termination will survive.
16. Changes
We may modify these Terms by posting an updated version with a new "Last updated" date. Material changes will be effective prospectively upon posting. If you continue using the Service after changes take effect, you accept the updated Terms.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of Georgia, without regard to conflict of laws. Venue lies exclusively in the state or federal courts located in Fulton County, Georgia, and the parties consent to personal jurisdiction there. Each party waives jury trial to the extent permitted by law.
18. Miscellaneous
If any provision is unenforceable, the remainder remains in effect. You may not assign these Terms without our consent; we may assign in connection with a merger, acquisition, or sale of assets. No waiver is effective unless in writing. Headings are for convenience only.
